CHANGE TO THE      BOARDS   OF   CAPITEC   AND   CAPITEC   BANK   (“THE
COMPANIES”)

Shareholders and noteholders are advised in accordance with
paragraphs 3.59 and 6.39 of the JSE Limited Listings and Debt
Listings Requirements that Mr DP Meintjes has indicated that
he will retire as an independent non-executive director of the
boards of the Companies (“Boards”) and as the Chairman of the
Human Resources and Remuneration Committee (“Remco”) at the
next annual general meeting scheduled for 26 May 2023. His
successor as Chairman of the Remco will be appointed in due
course.

The Boards thank Mr Meintjes for his valuable contribution to
the Companies and wish him well in his retirement.
