SCHEDULE 11 DISPOSAL OF CLAH – FULFILMENT OF CONDITIONS PRECEDENT
Shareholders are referred to the announcement released on SENS on 28 December 2022 (and using the
terms defined therein unless otherwise stated) wherein shareholders were advised that Constantia, an indirect
wholly-owned subsidiary of Conduit Capital and the holding company of the Group’s insurance interests, had
entered into an Agreement with Affinity, an unrelated third party, to dispose of the entire issued share capital
of its wholly-owned subsidiary, CLAH, and all claims which Constantia has against CLAH on the Effective
Date, for a purchase consideration of R20 million (“Disposal”).
Further to the announcements released on SENS on 5 April 2023 and 22 May 2023 wherein shareholders
were advised of the extensions to the date of fulfilment of the suspensive conditions and the Effective Date
of the Disposal, and the announcement released on SENS on 30 June 2023 wherein shareholders were
advised, inter alia¸ that the parties to the Agreement were in the process of attending to the outstanding
suspensive conditions, shareholders are hereby advised that all suspensive conditions, as set out in the
Agreement, have been fulfilled and accordingly, the Disposal is unconditional.
The Effective Date of the Disposal is 3 July 2023.
