CHANGES TO THE BOARD: RESIGNATION AND CHANGES IN FUNCTION OF DIRECTORS
In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the board of directors of
Conduit Capital (“Board”) hereby notifies its shareholders that, with effect from 1 October 2023:
- Mr Peter Todd has resigned as Chief Executive Officer of Conduit Capital.
Peter will remain an Executive Director of the Company, and will continue in his role as CEO of Constantia
Risk and Insurance Holdings Proprietary Limited (“CRIH”), an indirect wholly-owned subsidiary of Conduit
Capital, and Constantia Life Limited (“CLL”), a wholly-owned subsidiary of CRIH. He will continue to
support Conduit Capital in finalising the sale of CRIH and CLL (as announced on SENS on 24 May 2023)
and other strategic initiatives;
- Mr Leo Chou, the current Chairman of the Board, will assume the role as Chief Executive Officer of
Conduit Capital; and
- Mr Melvyn Lubega, the Lead Independent Director, will assume the role of Chairman of the Board.
The Board extends its sincere gratitude to Peter for his guidance and leadership during a difficult period and
appreciates that he has agreed to remain on the Board and to support the Company in finalising a number of
strategic initiatives. The Board also looks forward to the continued contribution of Leo and Melvyn in their new
roles.
