On 4 September 2023, Prosus NV (“Prosus”) announced the finalization of the Prosus Capitalisation Issue, whereby 1.17960 new
listed Prosus Ordinary Shares N will be issued for each existing Prosus Ordinary Share N held as at the Transaction Record Date,
and with Naspers Limited having irrevocably and antecedently waived its entitlement under the Prosus Capitalisation Issue, resulting
in a total of 808,533,377 new listed Prosus Ordinary Shares N issued to Prosus Free-Float Shareholders.

Treatment:

Holders are advised that the Long Equity Quantity of each Note will be increased by the Prosus Capitalisation Entitlement factor of
1.17960 to account for the above mentioned corporate action, as determined by Investec Bank Limited in their capacity as calculation
agent. The Note adjustment shall be effective Wednesday, 13 September 2023.
