CATEGORY 2 TRANSACTION - DISPOSAL OF SHARES


Shareholders are advised that at 4 January 2024, Lighthouse had disposed of 98 604 600 shares in Hammerson
plc (“Hammerson”) for an aggregate cash consideration equivalent to ZAR 651 131 518 (the “Disposals”).

Hammerson is a UK-based REIT that owns, manages and develops retail centres in the UK, Ireland and France.
Hammerson is listed on the Main Market of the LSE and has a secondary listing on the JSE Limited (“JSE”).

The proceeds of the Disposals enable Lighthouse to pursue yield-accretive direct property acquisitions.

The following profitability metrics are attributable to Hammerson for the six months ended 30 June 2023:

 *Extracted from Hammerson’s unaudited half year 2023 results published on 27 July 2023.

The Disposals were effected on-market and were not subject to any conditions precedent.

The Disposals, when aggregated, are classified as a category 2 transaction in terms of the JSE Listings
Requirements and as such are not subject to shareholder approval.
