ANNUAL COMPLIANCE REPORT AND CHANGE TO BOARD COMMITTEE


Availability of updated B-BBEE annual compliance report

SPAR shareholders (“Shareholders”) are referred to the announcement published on SENS on Thursday,
21 December 2023 (“Announcement”), wherein Shareholders were advised, inter alia, of the availability
of the Company’s latest annual compliance report prepared pursuant to section 13G(2) of the Broad-Based
Black Economic Empowerment Act, No. 53 of 2003, as amended, on SPAR’s website (“Previous B-BBEE
Report”).

Shareholders are hereby advised that the Company’s B-BBEE verification agents have issued an updated
B-BBEE annual compliance report following the identification of an error in the Skills Development
calculations. This has resulted in the B-BBEE rating recorded in the Previous B-BBEE Report moving from
a Level 5 to a Level 4. The updated B-BBEE annual compliance report is now available on SPAR’s website
at: www.thespargroup.com/pdf/SPAR_BBBEE_Certificate_2023.pdf.

Change to board committee

In compliance with paragraph 3.59(c) of the JSE Limited Listings Requirements, Shareholders are hereby
advised that Ms Funke Ighodaro, an Independent Non-Executive Director of the Company, has been
appointed as a member of the Risk Committee with effect from Thursday, 22 February 2024.
