RESULTS OF SCRIP DISTRIBUTION ELECTION, ISSUE OF NEW SHARES AND TOTAL VOTING
RIGHTS


Shareholders are referred to the previous announcements, the last of which was released on Thursday,
5 September 2024, in respect of a cash dividend of 1.21660 EUR cents per share (“Cash Dividend”), with an
alternative scrip distribution option of 1.21660 EUR cents per share by way of an issue of 3.10294 new
Lighthouse shares for every 100 Lighthouse shares held on the record date, being Friday, 6 September 2024 at
an issue price of 775.92579 ZAR cents per share (“Scrip Distribution”), in respect of the six months ended
30 June 2024.

Following completion of the election, the Company hereby announces that in respect of the Scrip Distribution,
a total number of 41 972 049 new Lighthouse shares (out of a maximum of 57 528 293 new Lighthouse shares)
will be issued on market as listed shares on Thursday, 12 September 2024. The new Lighthouse shares issued
in respect of the Scrip Distribution will upon their issue be fully paid up and will rank pari passu in all respects
with existing Lighthouse shares in issue and are fully fungible with effect from the date of listing.

Subsequent to the issue of the new Lighthouse shares, the total issued share capital of the Company will increase
to 1 895 965 154 ordinary shares of EUR 0.01 each. Therefore, the total number of voting rights in Lighthouse
will be 1 895 965 154 with effect from Thursday, 12 September 2024, which may be used by shareholders as
the denominator for the calculations by which they will determine if they are required to notify their interest or
change to their interest in Lighthouse.

In respect of the Cash Dividend, payment will be made to certificated shareholders by electronic funds transfer
on Thursday, 12 September 2024. The CSDP/broker accounts of all dematerialised shareholders will be credited
and updated accordingly on Thursday, 12 September 2024.

In respect of all dematerialised shareholders who elected to receive the Scrip Distribution, their CSDP/broker
accounts will be credited and updated with the new Lighthouse shares on Thursday, 12 September 2024.
