NOTIFICATION OF AMENDMENTS TO THE PROGRAMME MEMORANDUM IN RELATION TO
INVESTEC PROPERTY FUND LIMITED’S ZAR10 000 000 000 DOMESTIC MEDIUM TERM NOTE
PROGRAMME
Noteholders are advised that Investec Property Fund Limited ("IPF") has amended and restated the
Programme Memorandum in relation to its ZAR10 000 000 000 Domestic Medium Term Note Programme
(the “Programme Memorandum”) in order to align the Programme Memorandum with the most recent Debt
Listings Requirements of the JSE Limited (“JSE”).
The amendments to the Programme Memorandum are of a formal, minor or technical nature and have
been made to comply with mandatory provisions of law, namely the Debt Listings Requirements of the JSE.
The changes made relate to the following:
• the description of IPF and the risk factors in relation to IPF and the notes be included in an
information statement;
• information regarding the directors of IPF and the Security SPV to be included in an information
statement;
• information regarding corporate governance structures/policies regarding IPF to be included in an
information statement;
• the appointment of a debt officer;
• additional and/or updated information included in the pro forma Applicable Pricing Supplement; and
• the Condition in relation to Meetings of Noteholders to align with Debt Listings Requirements of the
JSE and the Companies Act, 2008.
The amendments to the Programme Memorandum have been approved by the JSE and the Programme
Memorandum and the Information Statement are available for inspection on the Fund’s website:
