UPDATE ON REPURCHASE PROGRAMME

Shareholders are referred to the announcement issued by Naspers on 27 June 2022 and other
announcements thereafter ("Repurchase Programme Announcements") in respect of the
open-ended repurchase programme in respect of the ordinary shares N (“Prosus Shares”) in
the capital of Prosus N.V. (“Prosus”) and N ordinary shares in the share capital of Naspers
(“Naspers Shares”), from the respective Prosus and Naspers (together the “Group”) free-float
shareholders (together the “Repurchase Programme”). Capitalised words used in this
announcement shall have the meanings ascribed to them in the Repurchase Programme
Announcements.

Shareholders are hereby advised that in connection with the continued implementation of the
Repurchase Programme, today Prosus sold 1,115,000 ordinary shares in Tencent, bringing its
total ownership in Tencent to 27.99%. This requires that each of Prosus and Naspers make
a Disclosure of Interest notification to the Stock Exchange of Hong Kong Limited, which Prosus
and Naspers have made today. Disclosure of Interest notifications are required to be made
every time Prosus’s shareholding percentage in Tencent crosses over a whole percentage
number. Furthermore, as part of the continued implementation of the Repurchase
Programme, Prosus has taken the administrative step to deposit an additional 192 million of
the Tencent shares that it held in certificated form into the Hong Kong Central Clearing and
Settlement System, to enable on market trading of such shares, in an orderly way pursuant
to the Repurchase Programme, over time.

Response to COVID-19

Naspers contributed R1.5 billion of emergency aid to support the South African government’s response to the COVID-19 pandemic. This
contribution consisted of R500 million towards the Solidarity Fund, and R1 billion worth of PPE sourced and distributed to South Africa’s front-
line healthcare workers. In addition, Naspers contributed R6.9 million to the Nelson Mandela Foundation’s EachOne FeedOne programme to
support families impacted by COVID-19 with meals for a year.
