  UPDATE REGARDING THE DISPOSAL OF SHARES IN TRUSTCO GROUP HOLDINGS LIMITED


Shareholders are referred to the announcements released on SENS on 20 August 2021 and 3 January
2022 (and using the terms defined therein unless otherwise stated herein) regarding, inter alia, the
agreement and addendums thereto entered into by the Company’s wholly-owned subsidiary, Constantia
Risk and Insurance Holdings Proprietary Limited (“Constantia”), Trustco and its wholly-owned subsidiary,
Trustco Capital (“Share Sale Agreement”) for the sale of 51 769 633 Trustco shares, representing all the
shares owned by Conduit Capital and Constantia in Trustco and of which Constantia is the registered and
beneficial owner, to Trustco Capital, subject to and conditional upon the fulfilment of certain Conditions
(“Share Disposal”).

Shareholders are advised that as the date for the completion of the Conditions to the Share Disposal, being
31 August 2022, has not been met the Share Sale Agreement has lapsed and is no longer in force.
