                               CHANGES TO THE BOARD OF DIRECTORS


In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors of
Conduit Capital (“the Board”) hereby notifies its shareholders that Ms Bianca Yan-Cohen has resigned as the
Financial Director of the Company with effect from 31 December 2022. Ms Yan-Cohen’s resignation has been
necessitated by her recent relocation abroad. Ms Yan-Cohen will remain involved with the Company in a
financial advisory capacity.

Mr Lourens Erasmus Louw (the previous Financial Director of the Company) has been appointed as Financial
Director with effect from 1 January 2023.

The Board would like to express its sincere gratitude to Ms Yan-Cohen for her valuable contribution during her
tenure as an executive director and for her continued contributions to the Company.
